<keyword id="35210" type="General" weightage="20" keywordseo="Sebi" source="Orion">SEBI</keyword> has imposed a penalty totalling Rs 20 lakh on <keyword id="2951205" type="General" weightage="20" keywordseo="Future-Corporate-Resources" source="Orion">Future Corporate Resources</keyword>, <keyword id="44950" type="General" weightage="20" keywordseo="Kishore-Biyani" source="Orion">Kishore Biyani</keyword> and 13 others for failing to make a public announcement of an <keyword id="6694776" type="General" weightage="20" keywordseo="Open-offer" source="Orion">open offer</keyword> to the shareholders of <keyword id="17303831" type="General" weightage="20" keywordseo="Praxis-Home-Retail" source="Orion">Praxis Home Retail</keyword>. They have been asked to pay the fine within 45 days, the Securities and Exchange Board of India (SEBI) said in its order. SEBI found that Future Corporate Resources Pvt Ltd (FCRL) along with 14 entities failed to make a public announcement of an open offer following the increase in the shareholding of FCRL in Praxis. Praxis' equity shares aggregating to 30 lakh were allotted to one of its promoter entities FCRL, following the exercise of the conversion option of 3,180 compulsorily convertible debentures (CCDs) by FCRL, out of the 7,500 CCDs initially allotted to it. After exercising the conversion option, the shareholding of FCRL in Praxis rose from 47.43 per cent in the quarter ended December 2019 to 53.13 per cent, an increase of 5.71 per cent in shareholding as of February 11, 2020. "As the increase in shareholding of FCRL in Praxis post-allotment is 5.71 per cent, which is more than five per cent, FCRL along with the other Noticees (PACs) allegedly were required to make a public announcement of the open offer under...SAST (Substantial Acquisition of Shares and Takeovers) Regulations," SEBI said in its order passed on Friday. However, SEBI noted that "Noticees (15 entities) did not make a public announcement of the open offer, till date, in the instant matter" and violated the provisions of SAST norms. SAST regulations were triggered in respect of the allotment of shares and the subsequent increase in the shareholding of FCRL. The rule mandates that the acquirer and persons acting in concert with it will be jointly and severally responsible for the fulfilment of the obligation. One of the purposes of obligations in respect of an open offer is to provide an exit option to the shareholders other than the promoters of the target company, SEBI said. all the other brands that Reliance has invested in are luxury brands. What has compelled Reliance to go after owning Indian brands? “Reliance is utilising its current infrastructure and team under Reliance Retail to increase wallet share from customers by acquiring brands, which are well established. Their core business isn't centered around launching their own labels but managing retail (offline and online) for brands that they partner with,” Neha Khanna, director at management consultancy firm ValPro, told Business Insider. She further noted that the acquisition directly adds to their revenue without much associated operating expenditure. Madhur Singhal, managing partner and chief executive officer (CEO) of Praxis Global Alliance, explained that there are three main advantages to following such a strategy for any business. First, the new age consumers are more experimental and their purchasing behaviour has a huge impact on the development of new business strategies. Second, such a strategy is even more helpful when running an ecommerce business as the brand is able to meet the needs of a digital consumer who is willing to try new-age brands. Third, when a brand undertakes a ‘house of brands’ strategy, it is able to scale each of these brands to the extent, which they would have otherwise not achieved while growing individually. “If all small brands are consolidated under the house of brands then they get the right scaling economies to grow in terms of advertising, sales, etc. It also gives economies of scope as it increases the potential of cross-selling products and services,” he added. A report by Fortune India citing sources <a href="https://www.fortuneindia.com/enterprise/reliance-retail-acquisition-spree-aims-to-make-it-walmart-amazon/107308">noted</a> that Reliance Industries is trying to be a ‘Walmart Plus Amazon’ with its recent spree of acquisition across sub sections of the retail industries. According to a report by Forrester Research, India is home to 8.6 million luxury brands consumers. Reliance Retail’s rival Aditya Birla Fashion and Retail Limited (ABFRL) has been trying to go after this segment by acquiring stakes in brands like Sabyasachi, Tarun Tahiliani, Shantanu &amp; Nikhil, among others. According to market and consumer data site Statista, revenue in the Indian luxury goods market amounts to $6.6 billion in 2022. “Even in a pandemic, the shares of luxury brands such as LVMH and Hermes have doubled. This showcases how resilient the luxury can be and how spending continues in this segment. With rising disposable incomes and a well-travelled and younger customer demographic in India, Reliance and Aditya Birla understand the importance of making luxury brands more accessible,” Khanna said, adding that these brands are trying to tap into [the] Indian consumer’s spending capacity. He noted that Google and PayU’s investment in online-to-offline commerce platform DotPe further substantiate this claim. Devendra Agrawal, founder of investment bank Dexter Capital echoed the same sentiment, highlighting that while offline retailers have been severely impacted by the pandemic, online retail received a huge boost. “To compete with online retailers, offline retailers have started adopting solutions offered by ‘Dukan Tech’ startups at an unprecedented rate,” he said. India is home to 60 million SMEs and 13-14 million kirana stores, which employ over 130 million people. “Clearly, it is an extremely vast market and provides great opportunities for digital solutions,” he added. But what are the challenges ahead of these companies? According to Singhal, finding the right product market fit for these startups is going to be extremely challenging for these startups as they have a diverse mix of customers in terms of region, scale and vertical of operations. “Another challenge would be the monetisation aspect. Given the free adoption and availability of Dukan Tech solutions, it would be crucial for these start-ups to figure out what percentage of their merchant base become paid users,” Agrawal added. Sequoia-backed Khatabook is facing similar challenges when it comes to monetisation. The company, valued at $600 million due to its size and scale, is currently in a pre-revenue stage. The company is currently piloting some monetisation engine, according to sources within the company. But the biggest challenge remains the emergence of big tech companies in the segment. Agrawal told Business Insider that any segment where customers are interacting on a daily basis always has the potential for big players jumping in. The question, however, remains how and when they do it. They can either enter organically or follow Walmart’s approach and acquire another company, he added. However, he emphasised that companies that have figured out their business model and are raising capital will be able to survive. “But another thing to keep in mind is that the current dukan tech companies are in the customer acquisition phase. They need to figure out the business model and monetisation engines,” Agrawal added. It might sound like a bad time as customer sentiment is low due to inflation, layoffs, increasing interest rates and more. But the e-commerce market behaves much differently than<a href="https://www.businessinsider.in/stock-market/news/why-you-should-continue-your-investments-and-sips-in-bear-markets/articleshow/92199199.cms"> the stock markets</a>. Both Myntra and Facebook-backed Meesho — which is the latest entrant among the biggest e-commerce players — sold<a href="https://www.businessinsider.in/business/ecommerce/news/meesho-recorded-5-35-million-orders-during-the-one-day-sale/articleshow/92100754.cms"> 60 orders every second</a> or over 5 million products in total on one day of their sale. For Myntra, it was the first day of its End of Reason sale held between June 11-16 and for Meesho, it was their one-day sale held a week before. Amazon and Flipkart have not yet revealed the performance of their sales yet. *While inflation and high petroleum prices are impacting everyone, consumer sentiment is not universally low. There are many categories in discretionary spending which are still having high sales. Anything with relatively high quality and reasonable pricing seems to be doing well,” N Chandramouli, founder of brand intelligence company TRA Research, too noted. According to several experts Business Insider spoke with, the right product at the right price matters. The Consumer Confidence Survey is still in <a href="https://indianexpress.com/article/business/households-see-high-prices-over-next-3-months-consumer-confidence-rises-7965166/">the negative territory</a>. The Reserve Bank of India’s (RBI) consumer confidence index showed slight improvement to 75.9 in May, compared to 71.7 in March, but it is still in the negative. The impact of this reduced sentiment however isn’t as bad, especially in discretionary spends. “The consumer sentiment isn't as negatively impacted as people are projecting it to be,” Shrenik Gandhi, co-founder and CEO of digital marketing agency White Rivers Media, told Business Insider India. He noted that businesses have to come up with the right products and services at the right time, right price to attract customers. <cmsannotation type="cmsannotation" annotationid="A white space for brands" comment="subhead" text="A white space for brands">A white space for brands</cmsannotation> Shahan Sud, an investment banker turned VC, explained that the union of the attention recession and the impending recession will create a white space for brands that will allow them to curate their stockkeeping unit (SKU) that cater to consumers that are looking for a “value buy, but one that keeps up the fashion trends of the season”. A previous report by ICICI Securities, published earlier this week, also noted that the discretionary companies like retail, QSRs and jewellery will be performing well for now. Besides this, even electronics and durables will also record good sales this year. He believes that things could be much better than they are now. He noted that the sales will be soft for a few months before they pick up. Contrary to the popular opinion, he noted that the festive sales growth might be muted compared to last year as the trends of revenge buying and pent-up demand have faded away. “I think this year’s festive season will be much better than the previous two years, with consumer spend increasing,” Chandramouli said, differing from Singhal’s opinion. Indian consumer electronics brand boAt used to make all its products in China, but the pandemic gave the New Delhi-based startup a rude wake-up call. Founder Aman Gupta had to set up alternative factories in other countries. Eighteen months later 9% of boAt’s manufacturing happens in India. India’s recently unveiled production-linked incentive (PLI) scheme is attractive, but not enough for the firm to make India its biggest production hub yet. China continues to make 90% of its production bulk, while the latest Vietnam market is adding another 1%. The company’s products were completely made in China until February 2020. In just about 5 years, the startup, whose last <a href="https://economictimes.indiatimes.com/tech/funding/qualcomm-ventures-invests-in-boat-at-estimated-valuation-of-rs-2200-crore/articleshow/82103740.cms">reported</a> valuation was ₹2,200 crore (about $300million), has quickly risen to capture nearly 30% market share in the audio segment in India ⁠— its earphones, in particular, ⁠have been popular ⁠— and nearly a third of the smart watch segment, where it competes with the likes of Samsung and Apple. <div type="image" title="INTERVIEW: This Indian challenger to Apple and Samsung explains why it chose India and Vietnam to make a bulk of its products" msid="85894605" hostid="261"></div> boAt’s chief executive (CEO) Vivek Gambhir, in a conversation with Business Insider, highlighted that it is currently manufacturing about 15 of its products in India with the help of local partners. It aims to manufacture 30-40% of its production volume in the home market, by 2024. The target could have been achieved sooner if conditions in the Indian electronics manufacturing hub were slightly better. India currently has 20% manufacturing disability compared to China and 12% manufacturing disability versus Vietnam. A manufacturing disability is defined as the difference, in percentage, in the selling price of a product and the manufacturing price. This is why boAt chose Vietnam as its second market. By 2024, the company expects the Southeast Asian country to make up for 10% of its production. Together, India and Vietnam will manufacture around 50% of boAt’s products, while China will add another 50%. boAt is not the only one one taking notice of Vietnam. The country’s rise as a major manufacturing hub for international exports in the last decade can be described as meteoric. South Korea-based electronics giant Samsung has one of its largest facilities outside its home country in Vietnam. The company assembles half of its global handsets in Vietnam and has benefited after the US-China trade war. However, as Gambhir explained, the cost of manufacturing in India has to be more competitive than it is right now. He added that while Vietnam is a better strategic location for now, compared to India, they want to be a leader in the Make-in-India campaign over the next few years. Challenges ahead of boAt to makes its Make-in-India desire a success According to the Indian Electronic System Design and Manufacturing (ESDM) Disability Identification<a href="https://home.jeita.or.jp/iad/pdf/IESA/IESA-EY%20-%20Indian%20ESDM%20Disability%20Identification%20Report%20-%20Executive%20Summary.pdf"> Study</a>, the electronic products made in India could be less competitive anywhere between 7% and 26%, depending on the nature of the product. But cost is not the only factor. The recently unveiled production-linked incentives in India, along with the import duty hikes, will bring down costs, Purnendu Kumar, practice leader of consumer and retail at consultancy Praxis Global Alliance, told Business Insider. Even if the cost is brought down, the ecosystem is yet to mature. “We are working with about five plus local partners [in India], but there's a certain amount of, you know, hand holding required to be able to actually work with them and educate them in terms of our products getting manufactured,” he added. Therefore, Vietnam is higher up the ladder for boAt at the moment, especially due to “high quality manufacturing opportunities”. The free trade agreement between India and the Southeast Asian country is another boon that reduces imports and exports barriers among the two nations. As for boAt, India will continue to be its research and development (R&amp;D) hub. It has set up a R&amp;D centre in Bengaluru earlier this year, in addition to its existing R&amp;D unit. The company also hired 30 employees in both these labs during the pandemic.
